Marketer Agreement

This Agreement sets out the terms under which an individual or company (the "Marketer") refers users to the NaijaCare Connect platform in exchange for performance-based commissions.
1. Commission is performance-based
Commission is paid only on active, revenue-generating referrals. An active referral is a user who has logged in and completed at least one paid transaction on NaijaCare Connect within the trailing 30 days.
2. Payment schedule
Earned commissions are paid monthly, within 15 days after the end of the calendar month in which they were earned, to the marketer's verified Nigerian bank account.
3. No payment for dormant accounts
Referrals that do not transact during a given calendar month are dormant for that month and generate no commission. Dormancy resets if the referred user transacts again.
4. Rate changes
NaijaCare Connect may update commission rates, eligibility rules, or the definition of an active referral with at least 30 days' written notice via email and in-app notice. Continued participation after the notice period constitutes acceptance.
5. Independent contractor
The marketer participates as an independent contractor and not as an employee, agent, partner, or joint venturer of NaijaCare Connect. The marketer is solely responsible for any taxes owed on commissions earned and shall not represent themselves as an employee of NaijaCare Connect.
6. Clawback
If a referred user churns, charges back, or is refunded within 30 days of the marketer's first commission payment for that user, the corresponding amount is deducted from the marketer's next payout.
7. Compliance
The marketer must not engage in spam, false advertising, impersonation of medical professionals, or any practice that violates Nigerian law or NaijaCare Connect's brand guidelines.
8. Termination
Either party may terminate this agreement at any time. Commissions accrued for active referrals up to the date of termination remain payable on the next regular cycle, subject to clawback.
